29. Accounting records, accounts, annual reports and returns, register maintenance
29.1 The World Board must comply with the requirements of the Charities Act 2011 with regard to the keeping of accounting records, to the preparation and scrutiny of statements of accounts, and to the preparation of annual reports and returns. The statements of accounts, reports and returns must be sent to the Charity Commission, regardless of the income of WAGGGS, within 10 months of the financial year end.
29.2 The World Board must comply with their obligation to inform the Commission within 28 days of any change in the particulars of WAGGGS entered on the Central Register of Charities.
30. Bye-Laws
30.1 WAGGGS may from time to time make such reasonable and proper Bye-Laws as it may deem necessary or expedient for the proper conduct and management of WAGGGS, but such Bye-Laws must not be inconsistent with any provision of this constitution. Copies of any such Bye-Laws currently in force must be made available to any Member Organisation of WAGGGS on request.
30.2 Bye-Laws may be adopted or amended by a resolution passed by a 75% majority of votes cast of Full Members at a general meeting of WAGGGS.
30.3 For the avoidance of doubt, in the event of a conflict between the provisions of the Bye-Laws and this constitution, the constitution shall prevail.
31. Disputes
If a dispute arises between Member Organisations of WAGGGS about the validity or propriety of anything done by the Member Organisations under this constitution, and the dispute cannot be resolved by agreement, the parties to the dispute must first try in good faith to settle the dispute by mediation before resorting to litigation.
